The Associate General Counsel for NCGS, Inc. shall report to the CEO. The primary responsibility shall be leading strategic and tactical corporate legal initiatives by providing senior management with effective advice concerning those initiatives and achieving their implementation, managing legal functions, and obtaining and overseeing the work of outside counsels. General Counsel shall be directly involved in pursuing and administering a broad spectrum of types of litigation as well as complex business transactions such as the negotiation of contracts. Periodic travel to Charleston required.

Primary Responsibilities

  • Participating in the development of corporate policies, standard operating procedures, and programs and providing continuing counsel and guidance on legal matters and on their implications.
  • Serving as key legal advisor on all litigation and major business transactions, including but not limited to contracts, acquisitions, divestitures, and joint ventures.
  • Negotiating, writing, reviewing, summarizing, researching and executing a wide variety of agreements, including but not limited to clinical trial agreements, employment and independent contractor agreements, insurance contracts, marketing agreements, licensing agreements, real estate leases and purchase agreements, confidentiality agreements, construction contracts, and other general business contracts both domestically and internationally.
  • Judging the merits of claims filed against or on behalf of the companies, working with the appropriate executive(s) to define a strategic claim or defense for trial, and approving settlements of disputes where authorized and warranted.
  • Participating in the selection, retention, management, and evaluation of all external counsel.
  • Advising on legal aspects of the company's financing and insurance, including assessing and consequently advising on current and future business structures and legal entities.
  • Researching unique legal issues impacting the companies by identifying applicable statutes, judicial decisions, and regulatory codes.

Knowledge, Skills and Abilities

  • Experience and familiarity with drafting and negotiating complex contracts for services.
  • Excellent communication skills in both oral and written communications with reference to teleconferences, boardroom conferences, and similar high-level exchanges.
  • Effective managerial skills especially as relates to both a large caseload and external counsels and other support staff.

Education and Experience

  • At least five (5) years of progressively responsible experience as in either a large law-firm or in-house setting preferably within CRO
  • Knowledge of employment law, data privacy law, FDA regulations and other laws relating to clinical research
  • Experience providing counsel to high-level executive teams, with a proven track record of strategic decision-making
  • Juris Doctorate from a consistently ranked and accredited U.S. law school.
  • In good standing with the South Carolina Bar.
  • Basic understanding of corporate finance and governance.
